Terms of Service
Effective Date: Upon first payment for services
These Terms of Service (“Agreement”) outline the terms under which Stellar AI Solutions, LLC (“Stellar,” “we,” or “us”) provides services to its clients (“Client,” “you,” or “your”). By paying an invoice or using any of our services, you agree to the terms outlined below.
1. Scope of Services
Stellar provides setup, configuration, and ongoing management of AI-powered systems that may include the following, based on the product plan purchased:
AgentOS Mini – Core Deliverables
Built-In Real Estate CRM: Preloaded with proven automations and follow-up workflows for both sellers and buyers—nurture every lead without starting from scratch.
AI Conversational Bots (SMS Only): Handles inbound SMS inquiries instantly, follows up automatically until you get a response, books appointments on your calendar, and revives cold leads via re-engagement campaigns.
Social Media AI Bot: Engages with people who like, comment, or interact with your posts or ads and converts them into leads via direct messages with custom calls-to-action.
Reviews AI Bot: Automates client review requests to boost your Google and Facebook reviews—effortlessly build your online reputation.
GPT CMA & Property Analyzer: Delivers instant property valuations and CMA reports using AI trained on local market trends and public data.
Ongoing Optimization: Regular updates and refinements to scripts, workflows, and triggers to maintain peak performance and improve conversion rates.
Calendar Integration & Booking System: Integrated calendar booking for up to 5 users. Additional users may require an onboarding fee.
Stellar Fast Track Huddles: Bi-weekly, 45-minute live group support sessions to answer questions and provide strategic guidance.
Private Community Access: Membership in the AI-Driven Real Estate Pros community with access to peer collaboration, tutorials, and how-to videos.
AgentOS Pro – Everything in Mini, Plus Next-Level AI Power
Includes all AgentOS Mini features, plus the following upgrades:
AI Voice Agents (Inbound & Outbound)
- Instantly answers inbound phone calls—no more missed opportunities or voicemail.
- Qualifies callers and transfers hot leads directly to you in real time.
- Schedules appointments directly onto your calendar without manual follow-up.
- Makes outbound calls for: Follow-ups, Appointment reminders, Cold lead re-engagement
- Keeps your pipeline active and prevents leads from falling through the cracks.
Premium Support
- Priority response times for faster resolution of technical issues.
- Direct access to senior support specialists.
- Personalized recommendations and advanced troubleshooting to keep systems operating at peak performance.
Guided Onboarding & Success Calls
- Weekly 30-minute onboarding calls for your first 4 weeks.
- Step-by-step training and walkthroughs for each tool and feature.
- Strategic customization based on your market and specific business goals.
- Live Q&A; sessions to help you launch with confidence.
Private Community Access (Enhanced for Pro Users)
- Exclusive access to advanced-level content, strategy calls, and bonus materials.
- Bi-weekly live calls for advanced training, marketing ideas, and automation strategies.
- Access to updated scripts, campaign templates, and new feature walkthroughs before public release.
Note: Any work or features beyond the outlined scope will be billed separately at $150/hour.
2. Term
Services are provided on a month-to-month basis and begin upon receipt of the first payment. Contracts auto-renew every 30 days unless terminated (see Section 6).
3. Client Responsibilities
Clients agree to:
- Provide timely access to relevant systems (email domains, phone numbers, CRM accounts)
- Respond to Stellar within 24 hours on open requests
- Approve content, copy, or campaigns when required
- Supply marketing lists or target criteria for outreach campaigns
4. Fees & Payment Terms
- Initial Setup Fee: As agreed upon at time of onboarding
- Monthly Service Fee: As agreed; auto-billed every 30 days from launch date
- Late Fees: 5% fee added after 5 days of non-payment unless paused in writing (max 60 days)
- Non-Payment Policy: Services are paused after 5 days of non-payment. After 30 days, access is permanently terminated unless otherwise arranged.
Usage-Based Pricing (Updated)
Outbound SMS: $0.008 per segment
Inbound SMS: $0.008 per segment
Email Sending: $0.675 per 1,000 emails
Email Verification: $2.50 per 1,000 verifications
Phone Numbers: $3.50/month (local or toll-free)
A2P Registration: $12 one-time
Accepted Payment Methods: Stripe (credit/debit card)
5. Ownership & Licensing
- All workflows, bots, prompts, and automation developed by Stellar are licensed, not sold
- Client retains ownership of CRM data, brand assets, and uploaded content
- Proprietary systems, templates, and frameworks remain the intellectual property of Stellar
- Upon cancellation in good standing, client data may be exported upon request
6. Termination & Cancellation
- Either party may cancel services with 7 days’ written notice
- No refunds are issued for payments already made within the current billing cycle
- Upon cancellation: Client retains CRM data and contacts; Access to proprietary bots, workflows, and templates is revoked
7. Refunds
- All payments are non-refundable once services begin
- Refunds or service credits are granted at Stellar’s sole discretion
8. Limitation of Liability
Stellar is not responsible for:
- Indirect, incidental, or consequential damages
- Platform outages or limitations caused by third-party systems (e.g., GHL, Twilio, OpenAI)
- Deliverability issues due to carrier restrictions, content flags, or unsubscribed contacts
We will make reasonable efforts to support and troubleshoot any technical issues within our control.
9. Confidentiality
Both parties agree to maintain the confidentiality of proprietary, technical, or sensitive information for 12 months following termination of service.
10. Compliance & Legal Responsibility
Clients are solely responsible for:
- Ensuring compliance with all relevant federal and state laws related to outreach
- All SMS, email, or phone campaigns initiated through the system
- Acquiring appropriate consent from contacts
Stellar assumes no liability for legal issues arising from client-generated campaigns.
This includes (but is not limited to) compliance with:
- TCPA (Telephone Consumer Protection Act)
- CAN-SPAM Act
- Do Not Call (DNC) regulations
- A2P 10DLC registration requirements
11. Indemnification
Client agrees to indemnify and hold harmless Stellar AI Solutions, LLC from any and all claims, fines, expenses, or legal liabilities resulting from:
- Messaging or outreach violations
- Regulatory complaints
- Use of contact lists, campaign content, or automation strategies
- Subpoenas, audits, or platform violations associated with the client’s account
12. Dispute Resolution
- Parties agree to attempt resolution via good-faith negotiation
- If unresolved, formal mediation will occur in Pinellas County, Florida
- This Agreement is governed by the laws of the State of Florida
13. Miscellaneous
- This Agreement reflects the entire understanding of the parties involved
- Any changes or amendments must be made in writing
- Electronic acceptance or payment serves as acceptance of these terms
